Terms of Service & User Agreement

1. Acceptance of Terms

Welcome to P2P Companion (accessible via p2pcompanion.com and the P2P Companion Android application). By accessing our website, using our real-time price comparison terminal, querying our APIs, or interacting with our OTC Nexus marketplace, you agree to comply with and be bound by the following Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User", "you") and P2P Companion ("we", "us", "our").

If you do not agree with any part of these Terms, you must immediately discontinue use of the platform. Your continued use of any portion of the Service following the posting of updated Terms will constitute your acceptance of those changes.

2. Eligibility

P2P Companion is intended solely for users who are at least 18 years of age (or the legal age of majority in their jurisdiction) and who have the legal capacity to enter into binding contracts. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

3. Description of Services

P2P Companion provides a suite of analytical tools and data visualizations related to peer-to-peer cryptocurrency markets. The core features include:

• Real-Time Order Book Aggregator: Consolidation of live buy/sell offers from multiple major exchanges, normalized by fiat currency, cryptocurrency, and payment method.
• Arbitrage Spread Calculator: Automated comparison of exchange rates across venues to identify potential arbitrage opportunities.
• Custom Price Alerts: User-defined notifications triggered by local device when specific price thresholds are met (no server-side processing of watchlists).
• OTC Nexus Directory: A community-driven listing service for peer-to-peer trade intentions, authenticated via Telegram Login Widget.
• Educational Resources: Guides, market research, and safety advisories related to P2P cryptocurrency trading.

These tools are provided free of charge and are intended for informational purposes only.

4. Non‑Custodial Architecture

P2P Companion is an independent market data aggregator, calculator, and analytical instrument. P2P Companion is strictly non-custodial:

• We do not operate as a cryptocurrency exchange, broker-dealer, financial institution, money services business (MSB), or payment processor.
• We do not hold, transmit, convert, or take custody of fiat currencies or digital assets under any circumstances.
• We do not intermediate order settlement, hold funds in escrow, or provide wallet services. All trades referenced across our comparison engine are executed directly on external third-party exchanges or between users themselves.

You acknowledge that P2P Companion never possesses your funds and cannot freeze, reverse, or recover payments made to third parties. Any dispute arising from a transaction conducted with a counterparty found via our Service must be resolved directly with that counterparty or the relevant exchange platform.

5. Third‑Party API Feeds & Market Data Reliability

Market pricing, order-book volumes, merchant completion rates, and fiat exchange spreads are fetched dynamically from public and partner REST/WebSocket APIs of third-party exchanges (including Binance, OKX, Bybit, KuCoin, MEXC, and Bitget).

• No Warranty of Accuracy: P2P Companion makes no representations or warranties regarding the accuracy, real-time completeness, uptime, or latency of third-party data feeds. We rely on the accuracy and timeliness of data provided by these exchanges and are not responsible for errors, omissions, or delays in that data.
• Execution Responsibility: Market prices in P2P environments change rapidly. You must verify current exchange rates and merchant terms on the counterparty platform before authorizing any payments or transferring assets.
• API Limitations: Our Service may be subject to rate limits, temporary outages, or changes in third-party API endpoints that affect functionality. We do not guarantee uninterrupted or error-free operation.

6. User Accounts & Telegram Authentication

Access to certain features (such as publishing OTC Nexus listings) requires authentication via the official Telegram Login Widget. By authenticating, you agree to the following:

• You are responsible for maintaining the confidentiality of your Telegram session and for all activities that occur under your account.
• You will provide accurate and truthful information during authentication and will not impersonate any other person or entity.
• You may revoke P2P Companion's access at any time via Telegram's bot settings. However, existing listings may remain visible until you delete them manually.
• We may suspend or terminate your access if we suspect fraudulent or abusive behavior.

7. OTC Nexus Marketplace & User‑Generated Content

The OTC Nexus directory allows users authenticated via the official Telegram Login Widget to post peer-to-peer trade intentions that are broadcast to linked community communication channels.

• Direct Negotiation: Transacting parties negotiate and settle trades directly via third-party messaging apps (Telegram). P2P Companion does not verify off-chain fiat transfers, authenticate third-party bank accounts, or intervene in user disputes.
• User Responsibility: You are solely responsible for the content you post, including trade terms, payment details, and any communications with other users. You must ensure that your listings comply with all applicable laws.
• Prohibited Content: Users are strictly prohibited from posting fraudulent listings, unverified banking details, illicit financial solicitations, deceptive offers, or content that facilitates illegal activities.
• Moderation Rights: We reserve the right, without prior notice, to remove listings, ban user accounts, or restrict Telegram identities identified as abusive, fraudulent, or in violation of these Terms.
• License to Display: By posting a listing, you grant P2P Companion a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute your listing content across the platform and associated social channels for the purpose of facilitating trade discovery.

8. Acceptable Use & Prohibited Activities

You agree not to use P2P Companion for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Service. Prohibited activities include, but are not limited to:

• Engaging in market manipulation, wash trading, spoofing, or any activity that distorts market data.
• Utilizing automated bots, scrapers, or scripts to extract data at volumes that exceed reasonable personal use or degrade service stability for other users.
• Attempting to gain unauthorized access to our servers, databases, or other infrastructure.
• Reverse engineering, decompiling, or disassembling any part of the Service, except as permitted by applicable law.
• Facilitating transactions involving sanctioned jurisdictions, money laundering, terrorist financing, or the proceeds of criminal activity.
• Posting false, misleading, or defamatory content on the OTC Nexus.
• Violating any applicable local, national, or international law or regulation.
• Interfering with or disrupting the integrity or performance of the Service or its underlying data feeds.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including reporting such activity to law enforcement authorities.

9. Intellectual Property & License

The interface design, proprietary algorithms, calculation engines, branding, logos, and original analytical guides on P2P Companion are protected by applicable copyright, trademark, and intellectual property laws. You may not copy, mirror, repackage, or redistribute platform code or proprietary assets for commercial purposes without prior written consent from P2P Companion.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not sublicense, sell, or otherwise monetize the Service or any data derived from it without explicit authorization.

10. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using P2P Companion, you consent to the data practices described in that policy.

We are committed to data minimization and transparency. We encourage you to review the Privacy Policy to understand your rights and choices regarding analytics, cookies, and local device storage.

11. Disclaimers & Risk Disclosure

11.1 No Financial, Investment, or Trading Advice

All data, spreads, profit calculations, arbitrage metrics, blog articles, and educational materials published on this platform are provided strictly for informational and research purposes only. Nothing contained on P2P Companion constitutes financial, investment, legal, accounting, or tax advice. You should consult a qualified professional before making any financial decisions.

11.2 Specific Risks of P2P Cryptocurrency Trading

Peer-to-peer cryptocurrency trading carries substantial risks that you must fully understand and accept before engaging in any transaction:

• Counterparty Risk: The person on the other side of the trade may default, engage in fraud, or reverse payments after receiving assets. We do not vet or guarantee any merchant listed in the OTC Nexus.
• Payment Method Risk: Fiat transfers via bank wire, mobile money, or online wallets may be subject to chargebacks, freezes, or reversals. You should only use payment methods you trust.
• Price Volatility: Cryptocurrency prices can fluctuate dramatically within seconds, potentially erasing arbitrage margins or causing losses.
• Regulatory Risk: The legal status of P2P crypto trading varies by jurisdiction. You are responsible for understanding and complying with local laws and tax obligations.
• Technology Risk: Blockchain networks may experience congestion, delays, or forks that affect transaction settlement.

11.3 "As Is" and "As Available" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

To the maximum extent permitted by applicable law, P2P Companion, its developer, founder (Dr. Nitz), and contributors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, capital, digital assets, or fiat balances resulting from trading activities or arbitrage execution.
• Counterparty fraud, payment reversals, bank account freezes, or chargebacks occurring during P2P transactions.
• Service interruptions, API downtime, network outages, or data inaccuracies displayed within the terminal.
• Any damages arising from the use or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall our aggregate liability exceed the amount you have paid us (if any) in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless P2P Companion, its founder, developers, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of the Service.
• Your violation of these Terms.
• Your posting of content on the OTC Nexus that infringes third-party rights or violates applicable law.
• Any transaction or dispute you enter into with another user or third-party exchange.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which P2P Companion's principal operations are based, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the applicable arbitration body in the governing jurisdiction.

You agree that any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after the cause of action arose, otherwise such claim is permanently barred.

16. Modifications to Service & Terms

We reserve the right to modify, update, or discontinue features of the platform at any time without prior notice. These Terms of Service may be updated periodically to reflect operational, legal, or regulatory changes. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of P2P Companion following any revisions constitutes your acceptance of the updated agreement.

It is your responsibility to review these Terms periodically. If you do not agree with the revised Terms, you must stop using the Service.
